Vendor Terms of Service

Last updated: April 2026  ·  Version 1.2

These terms govern your use of the ChopDispatch Vendor Portal. By accessing or using the portal you agree to be bound by these terms and our Privacy Policy.

1. Eligibility

To list on ChopDispatch you must be at least 18 years old and operate a legitimate business within Nigeria. By submitting an application you confirm that all information provided is accurate, complete, and will be kept up to date. Providing false information during or after application is grounds for immediate termination.

2. Application & Account

Each business may hold only one vendor account. Duplicate applications may result in permanent suspension. ChopDispatch reserves the right to approve or reject any application at its sole discretion without stating a reason. You are responsible for maintaining the security of your login credentials and all activity conducted under your account.

3. Vendor Obligations

You agree to: maintain accurate and up-to-date product listings and prices; fulfil accepted orders promptly and to the standard described in your listing; keep your store profile (name, description, operating hours) current; and comply with all applicable Nigerian laws, including NAFDAC regulations for food and pharmaceutical products. Any item recalled, banned, or restricted by law must be removed from your catalogue immediately upon notice.

You may publish up to five customer-facing store policies (e.g. cancellation, refund, dietary, warranty). These policies are publicly visible on your store page and must be truthful, clear, and compliant with Nigerian consumer protection law.

4. Products, Inventory & Orders

Your product catalogue and inventory data are your responsibility. You must not list quantities or prices you cannot honour. ChopDispatch facilitates order routing between you and customers; you are solely responsible for preparing, packaging, and (where self-delivery is offered) dispatching orders.

Walk-in and phone orders placed through the Point-of-Sale (POS) tool are subject to the same obligations as platform-routed orders. The POS tool may temporarily hold in-progress carts (including customer name and contact details) for up to one hour to facilitate order completion; held carts are automatically discarded after expiry.

5. Staff & Access Management

You may invite team members (managers, staff, cashiers) to your vendor portal. You are fully responsible for all actions taken by your invited staff. You must revoke access promptly when a team member leaves your business. ChopDispatch is not liable for losses caused by actions of your staff operating under your account.

Shifts & time tracking: Staff members may clock in and out of shifts. Shift records — including duration, orders handled, revenue attributed, and overtime flags — are logged and visible to account owners and managers in the analytics dashboard.

Remote screen control: Authorised users with the appropriate permission may request remote view or control of another staff member's dashboard session for training and support purposes. The recipient is always notified of an incoming remote-control request and may decline. Remote-control access is governed by role-based permissions.

6. Advertising

ChopDispatch provides a self-serve advertising platform (“Ads”) that lets you create campaigns, ad sets, and individual ad creatives to promote your store and products. By using Ads you agree to the following:

  • Ad Wallet: Advertising spend is drawn from a separate Ads Wallet funded via top-ups. Wallet funds are non-refundable once spend has been recorded against a live campaign.
  • Campaign objectives: You may run campaigns for Visibility, Orders, or New Customers. Objectives determine how delivery is optimised by the platform.
  • Placements & bidding: Placements include featured vendor slots, boosted product cards, sponsored banners, and re-engagement push notifications. Bidding models (CPM, CPC, and fixed) govern how your budget is consumed.
  • Targeting: Targeting options include geographic radius, customer audience segments, product category tags, and scheduled active days and hours.
  • Ad content: All ad creatives must be truthful and must not promote prohibited items. ChopDispatch may reject or remove any ad that violates these standards without refund.
  • Reporting: Reported metrics (impressions, clicks, CTR, attributed orders, and attributed revenue) are provided in good faith. Minor discrepancies due to caching or measurement windows may occur.

7. Messaging, Calls & Communications

The platform inbox allows direct messaging between your team and customers. Communications must be professional and relevant to orders or store enquiries. You may create reusable message templates for common scenarios. Harassment, spam, unsolicited marketing, or any communication that violates Nigerian consumer protection law is strictly prohibited and may result in immediate suspension.

Voice calls: The platform provides internal voice calling between staff members, including one-to-one and group calls. Call metadata (participants, timestamps, duration, and outcome) is logged for operational purposes. Call audio is not recorded or stored by ChopDispatch. Calls must be used for legitimate business purposes only; harassment or misuse will result in suspension.

8. Prohibited Items & Content

The following are strictly prohibited from listings, ad creatives, and all platform content: counterfeit or trademark-infringing goods; controlled substances or unprescribed pharmaceuticals; weapons, ammunition, or their components; stolen property; tobacco, alcohol, or age-restricted products sold to minors; and any item or content that is illegal under Nigerian law. Violations will result in immediate removal and may result in permanent account suspension.

9. Commission & Payments

ChopDispatch charges a platform commission on each completed order at the rate communicated upon account approval. Earnings from completed orders are held in escrow and settled to your registered Nigerian bank account (NUBAN) on your chosen payout schedule (7, 14, or 30 days). Settlements are net of the platform commission, applicable taxes, and any valid customer refunds or chargebacks. To change your registered bank account after initial setup, you must submit a formal change request to ChopDispatch Support.

10. Intellectual Property

You retain ownership of all content you upload, including product images, store logos, and ad creatives. By uploading content you grant ChopDispatch a non-exclusive, worldwide, royalty-free licence to display, reproduce, and use that content to operate the platform and promote ChopDispatch and its vendors in marketing materials. You warrant that you hold the necessary rights to all content you upload.

11. Data & Privacy

Customer data (names, phone numbers, addresses, order history) made available to you through the platform may only be used to fulfil orders and provide customer support. You must not sell, share, or use this data for independent marketing without the customer's explicit consent.

Certain data — including all order and financial records, your vendor application, and customer thread history — is retained by ChopDispatch for legal and compliance purposes regardless of account status. For full details on what data we collect, how we use it, and your data rights, see our Privacy Policy.

12. Analytics & Reporting

The platform provides aggregated analytics including revenue metrics, top products, ad spend and performance, customer segmentation by lead status, staff activity summaries, and audit trail entries. Analytics are derived from data you and your staff generate through normal platform use. Customer and staff data may be segmented and scored to provide actionable business insights. See our Privacy Policy §3 for how this data is processed.

13. Account Closure

To close your account you must contact ChopDispatch Support directly. Self-service account closure is not available. We will process closure requests after verifying your identity, confirming there are no outstanding orders or unpaid balances, and completing any mandatory data retention period required by law.

14. Suspension & Termination

ChopDispatch may suspend or terminate your account at any time for: breach of these terms; persistent negative customer feedback or unresolved disputes; fraudulent, misleading, or abusive activity; violation of the prohibited items policy; or inactivity exceeding six consecutive months. Where possible we will notify you before suspension, but we reserve the right to act immediately where there is risk of harm to customers or the platform.

15. Limitation of Liability

ChopDispatch operates as a marketplace intermediary. We are not responsible for the quality, safety, or legality of goods and services listed by vendors. We will facilitate dispute resolution in good faith but our total aggregate liability to you shall not exceed the net commissions received from your account in the three months preceding any claim.

16. Changes to These Terms

ChopDispatch may update these terms from time to time. We will notify you of material changes via your registered email address or an in-app notice at least 14 days before the new terms take effect. Continued use of the platform after the effective date constitutes acceptance of the revised terms.

17. Governing Law

These terms are governed by the laws of the Federal Republic of Nigeria. Any dispute that cannot be resolved amicably shall be subject to the exclusive jurisdiction of the courts of Osun State.
